Sona Comstar faces internal feud after Sunjay Kapur’s death. Sona BLW Precision Forgings Ltd clarifies that Rani Kapur is not a shareholder.

Amid growing feud within the Kapur family-owned Sona Comstar nearly a month after the sudden death of industrialist Sunjay Kapur, the Rs 30,000 crore worth conglomerate’s flagship company, Sona BLW Precision Forgings Ltd, on Friday said that Sunjay’s mother, Rani Kapur is not a shareholder.
The company rejected the claims of coercion and misconduct raised by the late industrialist’s mother following his sudden death.
In a formal statement issued on Friday, the company defended its decision to proceed with the Annual General Meeting (AGM) on July 25, saying it was bound by regulatory timelines and acted on expert legal advice. The company asserted that it remains committed to corporate governance and transparency.
Rani Kapur’s Allegations
The company’s response came hours after Rani Kapur, in a letter to the company and Securities and Exchange Board of India (SEBI), questioned the “suspicious circumstances”, saying there is “more than what meets the eye”.
Seeking deferment of the AGM, Rani claimed, “As you are aware, on 12.06.2025, my son Mr. Sunjay Kapur tragically passed away under highly suspicious and unexplained circumstances in the United Kingdom. Despite all attempts, I am not able to receive answers about my son’s death. Despite me seeking information, I have been unable to receive any relevant answers and documents explaining the incident and have been confined to the knowledge and version set out by the media. While we’re in mourning, some people trying to usurp family legacy.”
She further identified herself as a majority shareholder and demanded an Annual General Meeting (AGM) scheduled for this afternoon be postponed. Rani Kapur also alleged that she was made to sign documents shortly after her son’s death which she has not even read or understood.
“Please take note that during the aforesaid period of grieving, I was approached multiple times and compelled to sign various documents without explanation or even having time to read and understand the same. Despite being under immense mental and emotional distress, I was coerced into signing such documents behind locked doors and though I’ve requested repeatedly, the contents of such documents have never been revealed to me,” she said.
Company’s Response
Sona Comstar confirmed it had received her request late on July 24, just hours before the scheduled meeting, but maintained there was “no legal ground” to defer the AGM. “Given our respect for Mrs. Kapur, the Company sought urgent legal advice Based on the legal counsel and the fact that Mrs. Kapur is not a shareholder of the Company, the Company concluded that it could not defer the AGM,” it said in the statement.
It noted that Rani Kapur has not been a shareholder in the company since at least 2019.
Changes At Sona Comstar After Sunjay’s Death
Sunjay Kapur is survived by his wife, Priya Sachdev Kapur, a Delhi-based model-turned-entrepreneur, whom he married in 2017. The couple has a son, Azarias Kapur, born in December 2018. Kapur also has two children from his marriage to actor Karisma Kapoor, Samaira, 20, and Kiaan Raj Kapur, 14.
In recognition of his contributions, the board unanimously named the late Sunjay Kapur as Chairman Emeritus. Sona BLW Precision Forgings Ltd, popularly known as Sona Comstar, has appointed Jeffrey Mark Overly as the new chairperson of its board of directors following the untimely demise of Sunjay Kapur.
The board has also appointed Priya Sachdev Kapur as an additional non-executive director of the company.
